Terms of Service

Welcome to DaveSoftBot (“we”, “our”, “the Service”). By accessing or using our platform you agree to these Terms of Service. Please read them carefully.
1. Service Description
DaveSoftBot provides a WhatsApp bot platform that enables businesses to create automated customer interactions, manage menus, appointments, contacts, and AI-powered conversations.
2. Account Registration
- You must provide accurate information when creating an account.
- You are responsible for maintaining the confidentiality of your credentials.
- Your WhatsApp number must be a number you legally own and control.
- You must be at least 18 years old to use the Service.
3. Acceptable Use
You agree not to use the Service to:
- Send spam, unsolicited bulk messages, or harassing communications
- Violate WhatsApp’s Terms of Service or Community Guidelines
- Conduct illegal activities or violate applicable laws
- Impersonate other persons or entities
- Collect data without the consent of the individuals involved
4. Subscription and Payments
- Free Plan: Available at no charge with usage limits (up to 10 contacts). No payment required.
- Pro Plan: Charged monthly ($79.90/mo) or annually ($49.90/mo). Payments processed securely by Stripe.
- Enterprise Plan: Custom pricing. Contact us for details.
- All prices are in USD and exclude applicable taxes (VAT, GST, etc.).
- Subscriptions renew automatically. You may cancel at any time from your profile page.
- No refunds for partial billing periods unless required by applicable law.
- Auto-renewal notice: We will send you written notice 21–60 days before each automatic renewal, as required by the Israeli Consumer Protection Law (חוק הגנת הצרכן, 1981).
- Israeli customers: Prices may be charged in NIS equivalent plus 17% VAT as required by Israeli tax law. A tax invoice/receipt will be issued for each payment.

5. Cancellation & Consumer Rights
You may cancel your subscription at any time from your profile page, by emailing [email protected], or via WhatsApp support.
- Israeli consumers (remote transaction): You have the right to cancel within 14 days of the transaction date, in accordance with the Israeli Consumer Protection Law §14ג. No reason is required.
- Special populations (אוכלוסיות מיוחדות): Persons aged 65 or older, persons with a disability, new immigrants who arrived in Israel within the past 5 years, and IDF reservists called to active duty — may cancel within 4 months of the transaction date or receipt of the service, whichever is later (§14ג׳1).
- Cancellation fee: For Israeli consumers cancelling within the 14-day period (or 4-month period for special populations), the cancellation fee shall not exceed 5% of the transaction price or ₪100 (NIS), whichever is lower. No fee applies if you cancel within 14 days and the service has not yet been provided.
- Refund: If you are entitled to a refund, you will receive a prorated refund for the unused portion of your billing period within 14 business days.
- EU/EEA consumers: You have the right to withdraw from the contract within 14 days without giving any reason, in accordance with the EU Consumer Rights Directive 2011/83/EU. A full refund will be processed within 14 days of receiving your withdrawal notice.
- Upon cancellation, your bot will be suspended and your data will be preserved for 90 days for reactivation. After 90 days, data may be permanently deleted.

6. Intellectual Property
The DaveSoftBot platform, code, and documentation are the intellectual property of DaveSoftBot. You retain ownership of all content and data you create using the platform.
7. Disclaimer of Warranties
The Service is provided “as is” without warranty of any kind. We do not guarantee uninterrupted availability or error-free operation. WhatsApp availability depends on Meta’s infrastructure, which is outside our control.
8. Limitation of Liability
To the maximum extent permitted by law, DaveSoftBot’s total liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid for the Service in the twelve months preceding the claim.
9. Free Plan Terms
The Free Plan is provided as a courtesy at no charge on an “as-is, as-available” basis. By using the Free Plan you agree to these additional terms:
- No guarantee of availability. We may modify, suspend, limit, or discontinue the Free Plan at any time, for any reason, with or without notice, at our sole discretion.
- No obligation to maintain. We have no obligation to continue offering the Free Plan nor to provide any uptime guarantee or service level agreement for free-tier users.
- No liability for discontinuation. DaveSoftBot and its officers, directors, employees, and affiliates shall not be liable for any damages arising from modification, suspension, or discontinuation of the Free Plan, including loss of data, business, or profits.
- Waiver of claims. To the maximum extent permitted by law, you irrevocably waive and release DaveSoftBot from all claims, demands, and causes of action arising from or related to the Free Plan — whether in contract, tort, warranty, or any other legal theory. You agree not to bring any lawsuit, arbitration, or other legal proceeding against DaveSoftBot in connection with the Free Plan.
- Individual resolution only. Any dispute arising from the Free Plan shall be resolved on an individual basis. You waive any right to participate in a class action, collective action, or representative proceeding.
- Assumption of risk. The Free Plan may have limited features, reduced support, and no SLA. You assume all risks of using the Free Plan.
- Data on discontinuation. If we discontinue the Free Plan, we will make reasonable efforts to provide 30 days’ notice during which you may export your data. After the notice period, data may be permanently deleted.
10. Termination
We reserve the right to suspend or terminate accounts that violate these Terms, applicable laws, or WhatsApp’s policies, with or without notice.
11. Governing Law
These Terms are governed by the laws of the State of Israel. Any disputes shall be resolved in the courts of Tel Aviv, Israel. Nothing in these Terms limits any mandatory consumer protection rights granted to you by the laws of your jurisdiction.
12. Changes to Terms
We may update these Terms from time to time. We will notify existing subscribers of material changes at least 30 days in advance via email or WhatsApp. Continued use of the Service after changes constitutes acceptance of the new Terms.
